LEE RUDNICKI represents film and television distributors, producers, sales agents and financiers, and was the Executive Vice President of Business Affairs of Eleven Arts for a decade, in the area of international film. Lee has the expertise to negotiate, draft and review all types of film financing agreements, including, without limitation, pre-sale, development financing, negative pickup, domestic and foreign licensing, theatrical distribution, tax credit applications, and equity financing.
One focus of Lee's practice is to facilitate the financing of independent films via private equity investment. To that end, Lee has spent years developing and refining his approach to film financing, and he has developed a private placement memorandum that is specifically engineered to make the financial aspects of the project and the industry itself, crystal clear to potential investors. Lee's documentation is customized for each film, and all traditional "creative" Hollywood accounting methods that can dilute or kill an investment (i.e., deferments), are removed, resulting in a dramatically simplified accounting waterfall, which has proven successful. You can read a simplified plain-English version of Lee's approach to independent film finance here.
The legal fees for a private placement memorandum are a flat fee - 50% due upon commencement of work, 50% upon the successful financing.
